Welcome to IT Matterz. By accessing our web platforms, hiring our development/design services, or utilizing our AI automation workflows, you agree to be bound by the following terms and conditions.

1. Scope of Services

IT Matterz provides full-stack web development (Next.js/React), AI & WhatsApp automation agents, video editing/reels production, and VFX/motion graphic design. Specific deliverables, timelines, and milestones are governed by individual client proposals and project contracts.

2. Intellectual Property Rights

Client Assets: All logos, brand guidelines, and source materials provided by the client remain the sole property of the client.

Final Deliverables: Upon full payment of project fees, IT Matterz assigns 100% intellectual property and usage rights of the customized code, compiled software, and rendered visual media to the client.

Pre-existing Frameworks: Internal starter kits, reusable libraries, and proprietary deployment scripts remain the intellectual property of IT Matterz unless explicitly transferred.

3. Client Responsibilities

Clients agree to provide timely feedback, asset approvals, and necessary API keys or hosting access required for development and deployment. Delays caused by late client submissions may result in adjusted delivery timelines.

4. Limitation of Liability

IT Matterz strives for maximum uptime and rigorous bug testing. However, we are not liable for third-party service outages (e.g., AWS, Vercel, OpenAI, WhatsApp Cloud API changes) or indirect business losses arising from platform usage.

5. Governing Law

These terms are governed by and construed in accordance with the laws of India, with jurisdiction in the courts of New Delhi.
